Agronix Terms

Version of 18 October 2026 · English translation of the Italian terms above, which prevail · data processing agreement · privacy policy

1. The parties

Supplier: AG Eventi di Gili Alex, under the Pixel Air brand · Via Monfalcone 49, 13100 Vercelli (VC), Italy · VAT no. IT02784630028 · REA VC-312519 · PEC legalmail@pec.ag-eventi.it · info@pixelair.it · +39 388 244 6010.

Customer: the farm, the contractor, the consultant or the other business or professional named in the order, with a VAT number. Agronix is sold only to businesses and professionals, not to consumers.

2. What is purchased

Agronix is software for managing a farm: fields and crops, drone surveys and satellite imagery, maps, indices and prescriptions, field checks, spray register and field logbook, stock, machinery, staff and hours, irrigation, the season's accounts and connections with machine terminals. It is used from the browser and runs on the Supplier's servers: nothing is installed.

It is purchased with a one-year licence for the Customer's workspace, with the number of seats (people) stated in the order. Modules sold separately, such as «Tax and compliance», are active only if purchased and for the period purchased.

3. Prices and payment

Prices are those of the offer or of the purchase page at the time of the order. Payment is made as stated in the order; the invoice is issued with the order details.

4. Activation and conclusion of the contract

Once payment is confirmed, the Supplier creates the accounts stated in the order and sends each of them, at the email given, the Agronix address, the sign-in email and a temporary password, to be changed at first sign-in.

At first sign-in the owner of the workspace accepts these terms and the data processing agreement, and specifically approves the clauses of point 16 with a code sent to their email. The Supplier keeps the record of the acceptance (version, date and time, email, IP address) for the whole duration of the contract and for ten years afterwards.

5. Duration, expiry and closure

6. People, permissions and credentials

Each person has a personal sign-in, which may not be transferred or shared. The owner of the workspace adds people up to the licence seats and decides what each can see and edit. The Customer is responsible for the use of its people's accounts and keeps the credentials safe; if it thinks a sign-in has been used by others, it changes the password and notifies the Supplier immediately.

7. Nature of the results

Maps, indices, zones, prescriptions, counts and recognitions made with artificial intelligence, irrigation advice, disease risk, weather forecasts, yield estimates and calculations are decision-support tools: they depend on the quality of the photos and of the data entered and on third-party data (satellites, weather stations, forecasts). The Customer checks them in the field before using them; agronomic decisions, rates and work remain its own and, where the law requires it, those of a qualified agronomist. The tax and legal calculations of the «Tax and compliance» module are an aid and do not replace the accountant or the agricultural assistance centre.

8. Plant protection products and the farm's obligations

Agronix also prepares prescriptions for applying plant protection products with machines and drones. Which products, crops, rates, equipment, authorisations and distances are allowed is set by the law of the country where the work is done; compliance with these rules and with the label is the Customer's responsibility. Agronix does not check whether a prescription is permitted. The spray register, the field logbook and the other documents prepared with Agronix belong to the Customer, who is responsible for them towards the authorities.

9. Third-party services

Some functions use third-party services: satellite imagery, base maps, weather forecasts, weather stations and, if the Customer connects them, John Deere Operations Center and CNH FieldOps. The Supplier is not liable for their availability or their data; for the manufacturers' services the terms the Customer has accepted with them apply.

10. Service availability

The Supplier does its best to keep Agronix always available, but does not guarantee an uninterrupted service. Scheduled maintenance is carried out, where possible, outside working hours. If Agronix remains unavailable for more than 3 consecutive days for reasons attributable to the Supplier, the licence is extended by the same period.

11. Liability

The Supplier is liable only for direct damage caused by its own fault, up to the price paid by the Customer for Agronix in the last 12 months. It is not liable for indirect damage, lost harvests or profits, or damage due to data entered by the Customer, to results used without the checks of point 7 or to third-party services under point 9. Cases of wilful misconduct or gross negligence remain unaffected (art. 1229 of the Italian Civil Code).

12. Ownership and Customer data

Agronix and its artificial intelligence models remain the Supplier's; the licence only grants their use for the period purchased. Fields, photos, maps, registers and the other data entered or produced by the Customer remain the Customer's. The Supplier does not use them for its own purposes and does not use them to train its models without the Customer's written consent.

13. Personal data

For the personal data the Customer processes in Agronix, the Customer is the controller and the Supplier is the processor: the data processing agreement (art. 28 GDPR) is part of these terms. The data of Agronix users are processed as described in the privacy policy.

14. Changes

The Supplier may update these terms and the prices. The new version applies from the next renewal, or earlier if the owner accepts it in Agronix; until then the version accepted remains valid.

15. Applicable law and jurisdiction

Italian law applies. The courts of Vercelli have exclusive jurisdiction over any dispute.

16. Specific approval

Pursuant to Articles 1341 and 1342 of the Italian Civil Code, the Customer specifically approves clauses: 5 (deletion of data 30 days after expiry), 7 (nature of the results), 8 (plant protection products and the farm's obligations), 9 (third-party services), 10 (service availability), 11 (limitation of liability) and 15 (exclusive jurisdiction of the courts of Vercelli).
